Terms and Conditions

Welcome to Clean Hero App (also referred to as "GaCa" or "Garbage Calendar"), a mobile application developed and operated by Midnight Innovations Pvt. Ltd., a company registered in Nepal with its registered office at Basundhara Chowk, Kathmandu, Nepal (hereinafter referred to as "Company," "we," "us," or "our").

These Terms and Conditions ("Terms") govern your access to and use of the Clean Hero App, available on Android (Google Play Store) and iOS (Apple App Store) platforms. By downloading, installing, or using the App, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree with these Terms, you must not use the App.

• "App" refers to the Clean Hero mobile application, including the Consumer App and the Service Provider App.
• "User" or "you" refers to any individual or business entity that registers for and uses the App, whether as a consumer or a service provider.
• "Consumer" refers to individuals, hotels, restaurants, or businesses that use the App to schedule waste collection services.
• "Service Provider" refers to waste collection agencies and their personnel (including drivers) who use the App to manage and fulfill waste collection requests.
• "Services" refers to the waste management scheduling, tracking, notification, and related functionalities provided through the App.

By using the App, you represent and warrant that:

• You have the legal capacity to enter into a binding agreement under the laws of Nepal.
• If you are using the App on behalf of a business, you have the authority to bind that business to these Terms.
• All information you provide during registration is accurate, current, and complete.

To use the App, you must create an account by providing a valid email address and creating a password. You are solely responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. You agree to notify us immediately at contact@cleanhero.org if you suspect any unauthorized use of your account.

We reserve the right to suspend or terminate your account if we reasonably believe that your account has been compromised or is being used in violation of these Terms.

The Clean Hero App provides the following services:

5.1 For Consumers

• Scheduling waste collection pickups by selecting date, waste type (wet and biodegradable, dry and non-biodegradable, non-biodegradable), number of bags, time slot, and pickup location.
• Viewing scheduled pickups through a dual calendar system supporting both Gregorian (English) and Vikram Samvat (Nepali) calendars.
• Receiving real-time notifications on request status (pending, accepted, started, completed).
• Live tracking of the assigned garbage collection truck, including estimated arrival time and distance.
• Managing user profile, business name, and pickup location preferences.

5.2 For Service Providers

• Receiving and reviewing incoming waste collection requests from consumers.
• Accepting, rejecting, or rescheduling pickup requests.
• Managing accepted requests and initiating live tracking for pickups in progress.
• Navigation integration with Google Maps for pickup destinations.
• Managing driver details and company information.

By using the App, you agree to:

• Provide accurate and truthful information when creating your account and scheduling pickups.
• Use the App solely for its intended purpose of waste management scheduling and tracking.
• Not use the App to schedule pickups for hazardous, toxic, medical, or prohibited waste materials unless explicitly agreed upon with the service provider.
• Not attempt to reverse-engineer, decompile, disassemble, or otherwise attempt to derive the source code of the App.
• Not use the App to transmit any harmful, offensive, or illegal content.
• Not interfere with, disrupt, or create an undue burden on the App or its infrastructure.
• Comply with all applicable laws and regulations of Nepal when using the App.

Service providers using the App are independent entities and are not employees, agents, or representatives of Midnight Innovations Pvt. Ltd. Service providers are solely responsible for the quality, timeliness, and safety of the waste collection services they provide. The Company acts solely as a technology platform facilitating the connection between consumers and service providers and does not guarantee the performance of any service provider.

All intellectual property rights in the App, including but not limited to the software, design, logos, trademarks ("Clean Hero," "GaCa"), graphics, and content, are owned by or licensed to Midnight Innovations Pvt. Ltd. You are granted a limited, non-exclusive, non-transferable, revocable license to use the App for its intended purpose. This license does not grant you any right to copy, modify, distribute, sell, or create derivative works based on the App.

The App is currently available to download and use free of charge. No in-app payments or transactions are processed through the App at this time. Any fees related to waste collection services are handled directly between consumers and service providers outside of the App. We reserve the right to introduce fees or payment processing features in the future, with prior notice to users.

You may delete your account at any time by using the account cancellation feature within the App. Upon account deletion, your personal data will be removed from our active systems in accordance with our Privacy Policy. Please note that some data may be retained for a limited period as required by law or for legitimate business purposes such as resolving disputes or enforcing our Terms.

The App is provided on an "as is" and "as available" basis. To the fullest extent permitted by law, we disclaim all warranties, whether express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the App will be uninterrupted, error-free, secure, or free of viruses or other harmful components.

We do not guarantee the accuracy of live tracking data, estimated arrival times, or location information, as these depend on third-party services (Google Maps) and real-time conditions.

To the maximum extent permitted by applicable law, Midnight Innovations Pvt. Ltd., its directors, employees, partners, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, goodwill, or other intangible losses, arising out of or in connection with your use of or inability to use the App, any conduct or content of any third party on the App, or any unauthorized access, use, or alteration of your content or data.

You agree to indemnify, defend, and hold harmless Midnight Innovations Pvt. Ltd. and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with your access to or use of the App, your violation of these Terms, or your violation of any rights of any third party.

The App integrates with third-party services including Google Maps (for location services and navigation) and Firebase (for authentication and data management). Your use of these services is subject to their respective terms of service and privacy policies. We are not responsible for the availability, accuracy, or functionality of these third-party services.

We reserve the right to update or modify these Terms at any time. When we make changes, we will update the "Effective Date" at the top of this document and notify users through the App or via email. Your continued use of the App after such modifications constitutes your acceptance of the updated Terms. If you do not agree with the revised Terms, you must stop using the App and delete your account.

We may suspend or terminate your access to the App at any time, with or without cause and with or without notice, if we believe you have violated these Terms or if your use of the App poses a risk to other users or the integrity of the platform. Upon termination, your right to use the App will immediately cease, and any provisions of these Terms that by their nature should survive termination shall remain in effect.

These Terms shall be governed by and construed in accordance with the laws of Nepal. Any disputes arising out of or relating to these Terms or your use of the App shall be subject to the exclusive jurisdiction of the courts of Kathmandu, Nepal. Before pursuing legal action, both parties agree to attempt to resolve any disputes through good-faith negotiation.

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable.

These Terms, together with our Privacy Policy (available at cleanhero.org/privacy), constitute the entire agreement between you and Midnight Innovations Pvt. Ltd. regarding your use of the App and supersede all prior agreements, understandings, and negotiations.
